Lawyers for Commercial Law & Business Risk

Senior legal, tax & commercial judgment on significant decisions, disputes & governance issues.

ABOUT WATSON Tax LAWYERS

Who We Are

Watson Tax Lawyers advises on commercial matters where legal issues need to be considered together with tax, financial, governance and strategic consequences.

The practice is suited to matters where the issue is significant, the stakes are meaningful, and the client requires senior legal, tax and commercial judgment – rather than a narrow, document‑only view of the problem.

What We Do in Commercial Law & Business Risk

01

Commercial Decisions, Transactions & Structuring

Advice on commercial decisions involving transactions, restructures, business sales, ownership changes, funding arrangements and dealings with counterparties.

The focus is on identifying legal, tax and commercial risks early and designing approaches that are practical, defensible and aligned with the client’s objectives.

02

Commercial Disputes & Negotiated Resolutions

Acting in disputes involving business arrangements, contracts, ownership interests, family entities, professional relationships, property and investment matters.

Watson Tax Lawyers assists clients to assess their position, prepare a strategy, engage with other parties and work towards commercially sensible outcomes.

03

Governance, Control & Decision‑Making

Advising on issues involving directors, shareholders, partners, trustees, family entities, private companies and professional firms where control, authority or expectations are unclear or contested.

The work often involves clarifying roles, powers and duties, and putting in place governance frameworks that reduce the risk of future conflict.

04

Ownership, Control & Company/Trust Disputes

Assisting where there are disputes or potential disputes about ownership, control or benefits within private companies, trusts or combined structures.

Matters are approached with an eye to both legal rights and the commercial realities of continuing or unwinding relationships.

05

Asset Protection & Insolvency Risk Structuring

Advice on structuring or restructuring to separate trading risk from key assets, and to manage director and personal exposure in the face of potential insolvency or creditor action.

The aim is to achieve sensible protection within the boundaries of Australian law, not to engage in arrangements designed to defeat creditors.

06

Working with Other Advisers

Watson Tax Lawyers often works alongside accountants, commercial lawyers and other advisers who remain closely involved with the client.

Anthony is engaged to provide senior judgment where commercial, legal and tax issues converge and existing advisers want an additional level of support.

HOW THE PROCESS WORKS

How the Process Works for Commercial Matters

01

Confidential Discussion & Context

We begin with a confidential discussion about the commercial relationship, the documents in place, the parties involved and what is at stake – commercially, personally and reputationally.

02

Assessment of Position & Options

Anthony reviews the key documents and facts, sets out an initial view of the legal and commercial position and outlines the realistic options available, so you can decide how to proceed.

03

Strategy, Documentation & Engagement

We design and document a strategy — whether that is reshaping arrangements, clarifying governance, negotiating a resolution or preparing for litigation – and engage with counterparties or their advisers as appropriate.

04

Implementation & Ongoing Judgment

Implementation is handled with care and discretion, with Anthony remaining involved so that new information, counterparties’ moves or changing circumstances are addressed using the same senior judgment that set the strategy.

Frequently Asked Questions about Commercial Law & Business Risk

Matters are usually event‑driven: a major transaction or restructure, a breakdown between owners, a governance issue, a dispute over contracts or entitlements, or a situation where legal and commercial risk has escalated beyond what was expected. We are not a volume documentation practice.

We conduct proper conflict checks at the outset and are clear about who the client is in any matter. Where we cannot act for all parties, we explain the position and, where appropriate, suggest alternative arrangements or firms for other parties.

In many cases we are brought in by existing advisers who remain closely involved. Our role is to provide additional senior judgment on structure, governance, disputes or risk, while working collaboratively with the people who know your business day‑to‑day.

No. We are often engaged earlier in the lifecycle — to review arrangements, assess risk, advise on options and, where possible, resolve matters commercially before litigation becomes necessary. When proceedings are on foot or unavoidable, we then apply the same approach to strategy and execution.
