Lawyers for Commercial Decisions, Transactions & Corporate Governance

Senior legal, tax & governance counsel on significant business decisions, restructures & ownership changes.

ABOUT WATSON Tax LAWYERS

Who We Are

Watson Tax Lawyers advises on commercial matters where important business decisions, transactions and restructures have legal, tax and governance consequences that need to be considered together.

Many of these decisions cannot be assessed by looking at documents alone. They require judgment about commercial leverage, risk, cost, timing, reputation and the practical realities of implementing choices within private companies, family businesses and private groups.

What We Do in Commercial Decisions, Transactions & Corporate Governance

01

Significant Business Decisions & Transactions

Advising on significant business decisions and transactions, including changes to business models, new ventures, exits from existing arrangements, and major contracts or relationships.

The focus is on understanding the legal and tax implications of those decisions and helping clients choose paths that are commercially and legally defensible.

02

Restructures, Ownership Changes & Equity Arrangements

Advising on restructures, ownership changes and equity arrangements within private companies and groups, including bringing in or exiting shareholders or partners.

Work includes considering how these changes affect control, governance, tax outcomes and the underlying relationships between principals.

03

Corporate Governance & Board‑Level Issues

Advising directors and boards on governance issues in private companies and family businesses, including directors’ duties, decision‑making processes, conflicts and documentation.

The aim is to provide clarity on how decisions should be made and recorded in a way that reflects both legal requirements and commercial realities.

04

Documentation, Risk Allocation & Alignment with Structure

Reviewing and advising on key commercial documents and governance instruments — such as shareholder agreements, constitutions and trust deeds – to ensure they align with the intended structure, control and risk allocation.

The work is directed to avoiding gaps or inconsistencies that can later give rise to disputes or enforcement difficulties.

How the Process Works for Commercial Decisions & Governance

01

Confidential Discussion & Context

We begin with a confidential discussion about the decision, transaction or governance issue, the parties involved and what is at stake commercially, personally and reputationally.

02

Assessment of Legal, Tax & Governance Issues

Anthony reviews the relevant structures, documents and facts, identifies key legal, tax and governance issues and outlines realistic options available.

03

Strategy, Documentation & Implementation

We design and document an approach – whether that is reshaping arrangements, clarifying governance or proceeding with a transaction — and work alongside existing advisers to help ensure that implementation aligns with that approach.

Frequently Asked Questions about Commercial Decisions, Transactions & Corporate Governance

We are usually engaged where the decision or transaction is material to the business or group — for example, restructures, major contracts, ownership changes, new ventures or exits. We are not a volume documentation practice.

No. In most matters we work alongside your existing accountants and commercial lawyers. Our role is to provide additional senior judgment on structure, governance and tax risk.

Ideally before key terms are finalised or documents are signed. Early involvement allows legal, tax and governance considerations to be integrated into commercial decisions rather than added as an afterthought.

Yes. We are often engaged after a decision or transaction has given rise to unanticipated consequences or strain. We can review the position, advise on risks and options, and assist with adjustments or resolution strategies where feasible.
