ABOUT WATSON Tax LAWYERS

Who We Are

Watson Tax Lawyers advises on issues of control, governance and dispute within family companies, trusts and wider private groups.

Families often use layers of entities to hold businesses and wealth. Over time, questions can arise about who truly controls those entities, how decisions are made, what was intended and whether expectations are being met. The practice is focused on bringing legal, tax and commercial judgment to these questions before and after disputes emerge.

What We Do in Family Entity Control, Governance & Disputes

01

Clarifying Control of Companies & Trusts

Advising on who has practical and legal control of companies, trusts and other entities – including directors, shareholders, appointors, trustees and beneficiaries.

Work includes reviewing documents and history to clarify existing positions, and recommending changes where appropriate.

02

Governance Frameworks for Family Groups

Designing or refining governance frameworks for family entities and private groups, including decision‑making processes, board or advisory structures and documentation.

The aim is to provide clarity on who decides what, and how, in order to reduce uncertainty and future conflict.

03

Disputes & Potential Disputes about Control & Entitlements

Acting where disputes or potential disputes have arisen about who controls entities, how decisions are made or how benefits are shared.

This includes advising on legal rights and obligations, options for resolution and strategies directed to protecting value and relationships where possible.

04

Pre‑Dispute Review & Risk Management

Helping families and groups identify and address control and governance risks before they become open disputes.

The focus is on putting in place clear arrangements and documentation that reduce the likelihood of damaging conflict down the track.

HOW THE PROCESS WORKS

How the Process Works for Family Entity Control & Disputes

01

Confidential Discussion & Structure Review

We begin with a confidential discussion about the family, the entities involved, the current concerns and any emerging or existing disputes, then review key documents and relationships.

02

Assessment of Roles, Powers & Risks

Anthony assesses who currently holds legal and practical control, how decisions are being made, where gaps or ambiguities exist and what legal, tax and commercial risks may arise.

03

Strategy, Governance Design & Dispute Management

We design and document changes to governance and control where appropriate, and, where disputes are present, advise on options and strategies for resolution or management.

04

Implementation & Ongoing Counsel

Implementation is handled with care and discretion, with Anthony remaining involved as ongoing counsel so that structures and arrangements can adapt as circumstances and relationships change.

Frequently Asked Questions about Family Entity Control, Governance & Disputes

Typically when there are signs of strain, uncertainty or disagreement about who controls entities, how decisions are made or what was intended. Early advice can often prevent more serious disputes.

No. A large part of this work is pre‑dispute: clarifying structures, roles and expectations so that potential conflicts are less likely to crystallise. We also act where disputes are already in progress.

We run conflict checks at the outset and are clear about who the client is. In some matters we can act for the group as a whole; in others, only for particular members or entities. Where conflicts prevent us from acting for more than one party, we explain that position and, where appropriate, suggest alternatives.

We usually work alongside existing family office staff, accountants, lawyers and other advisers. Our role is to provide specialist legal and tax judgment on control and governance issues, while those advisers continue to play their ongoing roles.
